Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Prentora Ltd, a company registered in England and Wales with company number 16785749 ("Prentora," "we," "us," or "our") governing your use of our website and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. Our Privacy Policy explains how we use your personal data. If you do not agree to these Terms, you may not use our Services.
2. Eligibility and Account Registration
2.1 Age Requirements
You must be 18 or over to create an account and use our Services. By creating an account, you confirm that you are 18 or over.
2.2 Account Creation
To access certain features of our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your information to keep it accurate and current
- Maintain the security of your password and account
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
2.3 Account Security
You are responsible for safeguarding your account credentials. You may not share your account with others or allow others to access the Services through your account. If you suspect unauthorized access to your account, contact us immediately at [email protected]. We may lock your account to protect it, for example after repeated failed sign-in attempts. If your account is locked, contact us at the same address.
2.4 Account Closure
You can close your account at any time by contacting us at [email protected]. When your account is closed, we delete your personal data, except what the law requires us to keep, as our Privacy Policy explains.
We close an account only where the law requires us to, or where the account is used for fraud, such as paying with stolen cards. If we do, we will tell you why, unless the law prevents us.
2.5 Data Protection
We process your personal data in accordance with UK GDPR and the Data Protection Act 2018. For detailed information about how we collect, use, and protect your data, please review our Privacy Policy.
Your rights under data protection law include:
- Right to access your personal data
- Right to correct inaccurate data
- Right to erasure ("right to be forgotten")
- Right to restrict processing
- Right to data portability
- Right to object to processing
- Right to lodge a complaint with the Information Commissioner's Office (ICO)
To exercise these rights, contact us at [email protected].
2.6 Security Measures
To protect the security and integrity of our platform, we collect device and network identifiers when you use the Services. This data is used to prevent fraud and defend against fraudulent chargeback claims. For full details, see our Privacy Policy.
3. Video Course Purchases and Access
This section and Section 4 apply to video courses. Live classes are covered by Section 5.
3.1 Course Enrollment
When you purchase a course on Prentora, you are purchasing a limited, non-exclusive, non-transferable license to access and view that course for personal, non-commercial educational purposes.
3.2 Lifetime Access
When you enroll in a course, you receive lifetime access to that course content, subject to these Terms and the following exceptions:
- you are refunded for the course, or your bank or card provider reverses your payment for it
- we're required by law to withdraw the course (Section 3.5)
- your account is closed under Section 2.4
3.3 License Restrictions
Your license to access course content does NOT include the right to:
- Reproduce, distribute, or sell course content
- Share your account or course access with others
- Publicly display, perform, or broadcast course content
- Create derivative works from course content
- Use course content for commercial purposes
- Remove or modify copyright notices or watermarks
- Use automated tools to access or download content (e.g., bots, scrapers)
3.4 No DRM and Anti-Piracy Commitment
Prentora deliberately does not apply digital rights management (DRM) to downloadable course content. We choose to offer a quality product at a fair price and to trust our users to honor the license above. This trust is a core part of how we keep the platform open and affordable.
In return, we treat redistribution and piracy of course content as a serious breach of these Terms. If you reproduce, distribute, share, resell, or otherwise make course content available to others, we reserve the right to pursue all available legal remedies, including claims for damages and injunctive relief under the Copyright, Designs and Patents Act 1988. These remedies are cumulative and in addition to any other rights we hold.
3.5 Course Changes and Removal
Instructors may update their courses, but a course must continue to match its description. If a course stops being sold, you keep your access to it.
We withdraw a course from people who bought it only if the law requires us to. If we do, we will tell you, and refund what you paid if you bought it in the previous 12 months. This doesn't affect your rights if the course was faulty or not as described.
4. Pricing, Payments, and Refunds
4.1 Pricing
Course prices are set by instructors and displayed in your preferred currency. Prices may vary based on promotions, discounts, or regional pricing. We reserve the right to change prices at any time, but price changes will not affect courses you have already purchased.
4.2 Taxes
For most jurisdictions, all applicable taxes (such as VAT or GST) are included in the displayed price. For purchases made from the United States and Canada, applicable sales tax will be calculated and added at checkout based on your location.
4.3 Payment Processing
We use third-party payment processors to process payments. By providing payment information, you:
- Represent that you are authorized to use the payment method
- Authorize us to charge the payment method for the purchase amount plus applicable taxes (where not included in the price)
- Agree that our payment processors may store your payment information for future purchases
We are not responsible for payment processing errors, delays, or security breaches that occur within our payment processors' systems, unless we caused them (Section 12). However, this does not affect your statutory rights under UK consumer protection laws, including your rights under the Consumer Rights Act 2015 and Payment Services Regulations 2017.
4.4 Refund Policy
Cancellation Rights
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have a statutory right to cancel within 14 days of purchase. However, by providing express consent at checkout to access the course immediately, you acknowledge that you will lose your right to cancel once you begin accessing the course content (watching videos, downloading materials). This does not affect your rights under the Consumer Rights Act 2015 if the content is faulty or not as described.
Discretionary Refunds
You may request a refund within 14 days of purchase if the following condition is met:
- You have watched or downloaded no more than 3 videos from the course
How to Request a Refund: Request a refund through your account. Eligible refunds are made to your original payment method within 14 days.
Refund Exclusions: These apply to discretionary refunds only, and don't affect your rights if a course is faulty or not as described. The following purchases are not eligible for discretionary refunds:
- Courses purchased more than 14 days ago
- Courses where you have watched or downloaded more than 3 videos
Refund Abuse: We reserve the right to refuse discretionary refunds if we detect patterns of abuse, such as repeatedly purchasing and refunding courses.
5. Live Classes
5.1 Who sells live classes
Live classes are sold by their instructors. Prentora acts as the instructor's agent and is not the seller. When you enroll in a live class, your contract for it is with the instructor, on the Live Class Booking Terms.
5.2 Ranking
Live classes with a semester open for applications are listed first, then classes with a semester still to come, each ordered by the date of the next session. Payments to Prentora do not affect ranking.
6. User Conduct
6.1 Prohibited Uses
You agree NOT to use our Services to:
- Violate any applicable laws or regulations
- Infringe intellectual property rights of others
- Post or upload anything Section 7.1 doesn't allow
- Engage in spam, phishing, or fraudulent activities
- Upload viruses, malware, or other malicious code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Scrape, crawl, or use automated tools to access our Services
- Impersonate any person or entity
- Interfere with or disrupt the Services or servers
- Use the Services for any commercial purpose without our written permission, except as an instructor or affiliate under your agreement with us
6.2 User-Generated Content
You may post reviews and other content ("User Content") on our platform. By posting User Content, you:
- Grant Prentora a worldwide, non-exclusive, royalty-free license to use, display, reproduce, modify, and distribute your User Content in connection with operating and promoting the Services for the duration that your account remains active and for a reasonable period thereafter for archival and legal compliance purposes. If your account is closed (Section 2.4), we delete your reviews and remove or anonymize your other User Content, except where retention is required by law.
- Represent that you own or have the necessary rights to the User Content
- Warrant that the User Content does not violate these Terms or infringe any third-party rights
- Understand that your User Content may be publicly visible to other users
7. Content Rules and Moderation
7.1 What isn't allowed
These rules apply to everything posted or uploaded on Prentora. You must not post or upload:
- terrorism content;
- child sexual abuse material, or anything else that sexually exploits children;
- anything else illegal, such as threats, harassment, fraud, hate crime or material that infringes someone's intellectual property;
- pornography. Nudity for artistic or educational purposes, such as life drawing, isn't pornography and is allowed;
- content that encourages, promotes or gives instructions for suicide, self-harm or an eating disorder;
- content that promotes hopelessness or despair;
- abuse or hatred directed at people because of race, religion, sex, sexual orientation, disability, gender reassignment or another protected characteristic;
- content that encourages serious violence against anyone;
- bullying, or abusive or shaming comments about anyone's body;
- content that realistically depicts serious violence against, or graphic injury of, a person, animal or creature. Anatomy, stylized or fantasy action, and dark themes taught without graphic detail are allowed;
- content that encourages dangerous stunts or challenges, or the use of harmful substances;
- false or misleading information, for example about a course, a class, an instructor's experience or a price;
- offensive content: anything that insults, demeans or abuses a person or group, such as slurs, name-calling or personal attacks. Disagreeing with someone, or criticizing their work, isn't offensive;
- personal information about someone else, spam, or links to harmful files or websites.
7.2 Reporting content
Anyone can report content they believe breaks these Terms or the law, using the Report link beside it or the Report content page. Reports must be made in good faith. We review reports promptly, prioritizing those involving child sexual abuse material or a risk to someone's safety, and tell the person who reported our decision.
7.3 How we moderate
All moderation decisions are made by people. We do not use automated tools to detect, assess or remove content. We judge content only against these Terms and the law, and we do not remove content just because it is critical or negative.
7.4 What we do
If content breaks these Terms or the law, we may restrict it, for example by hiding it or taking a course or listing out of public view. Restricting a course doesn't affect people who have already bought it, and live class semesters already booked continue.
7.5 Statement of reasons and appeals
If we restrict your content or close your account, we will tell you what we did and why, and how to appeal, unless the law prevents us. You can appeal within 6 months. Where possible, your appeal is decided by someone other than the person who made the original decision. If we reverse our decision, we will restore what we restricted. You can also take the matter to court (Section 15).
7.6 Complaints
If you think we aren't meeting our duties under online safety law, or you want to complain about how we handled a report or an appeal, email [email protected]. We will reply within 30 days.
8. Reviews
8.1 Who can review
Video courses. You can review a video course you have bought, even if you were later refunded for it. You can't review a course you were given free access to.
Live classes. You can review a live class semester if you were enrolled for at least one session that took place, unless the instructor removed you for your conduct or you were removed because we believe you're under 18. Students whose place was paid for outside Prentora can't review.
8.2 How reviews are shown
Reviews are public and show your username. Any rating shown for a class or course counts every review that hasn't been restricted.
8.3 Deleting reviews and replies
You can delete your review at any time. The instructor can post one public reply to each review. Instructors can't edit or remove reviews, and we never edit them.
8.4 What isn't allowed in a review
As well as anything Section 7.1 doesn't allow, a review or reply must not be:
- spam or advertising;
- about something other than the class or course;
- fake: written by someone who didn't attend the class or buy the course, by the instructor or someone acting for them, or about a competitor.
Instructors must not offer anything in exchange for a review, pressure anyone about a review, or invite reviews only from students they expect to be positive.
8.5 What we remove
We restrict a review or reply only if it breaks these Terms or the law. We never remove a review because it is negative, or because the instructor asks us to.
9. Intellectual Property Rights
9.1 Prentora's Intellectual Property
The platform itself, including all software, design, user interface, text, graphics, logos, trademarks, and functionality of the Services (excluding content created by instructors), is owned by Prentora or our licensors and is protected by copyright, trademark, and other intellectual property laws. This includes but is not limited to:
- The Prentora website and platform software
- The Prentora brand, logo, and trademarks
- The platform's design, layout, and user interface
- Documentation, help content, and marketing materials created by Prentora
This section does not apply to content created and uploaded by instructors, which is addressed in Section 9.2 below.
9.2 Instructors' Content
Course content is owned by the respective instructors or their licensors. Instructors grant Prentora the right to distribute their course content through our platform. Your purchase of a course grants you only the limited license described in Section 3. Live class content belongs to its instructor.
9.3 Trademarks
Prentora, the Prentora logo, and other Prentora trademarks are the property of Prentora Ltd. You may not use these trademarks without our prior written permission.
9.4 Intellectual Property Infringement
We respect intellectual property rights and comply with our obligations under the Copyright, Designs and Patents Act 1988 and the Electronic Commerce (EC Directive) Regulations 2002.
If you believe content on Prentora infringes your intellectual property, report it under Section 7.2, identifying your work and confirming that you own it or are authorized to act for its owner. For a claim covering many items, email [email protected].
10. Third-Party Services and Links
Our Services may contain links to third-party websites, services, or resources that are not owned or controlled by Prentora. We are not responsible for the content, privacy policies, or practices of third-party services. You acknowledge and agree that Prentora is not liable for any damage or loss caused by your use of third-party services.
11. Disclaimers
11.1 Services Provided "As Is"
Our Services are provided on an "as is" and "as available" basis. To the extent the law allows, we give no warranties beyond those in these Terms, including that the Services will be uninterrupted or error-free.
Consumer Rights Protection: Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under UK law. Your statutory rights under the Consumer Rights Act 2015 are not affected, including your rights to digital content that is of satisfactory quality, fit for purpose, and as described.
11.2 No Guarantee of Results
We do not guarantee that you will achieve any specific results, skills, or outcomes from taking courses or attending live classes on our platform. Your success depends on many factors, including your effort, commitment, and existing skills.
11.3 Course Content Accuracy
While we encourage instructors to provide accurate and up-to-date content, we do not verify the accuracy, completeness, or reliability of course or live class content. This does not affect your statutory rights (Section 11.1).
12. Limitation of Liability
12.1 What we're not responsible for
- A live class instructor's teaching, content or conduct, which are the instructor's responsibility.
- Failures of payment providers, banks or card networks that we didn't cause.
- Loss or damage you could have avoided by taking reasonable steps.
12.2 Our limit
Our total liability to you for all claims arising from these Terms or the Services is limited to the greater of £100 and the total you paid through Prentora in the 12 months before the event giving rise to the claim. That total includes what you paid instructors for live classes through Prentora.
12.3 What we never limit
Nothing in these Terms excludes or limits our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- breach of your rights under the Consumer Rights Act 2015 or other consumer law; or
- any other liability that cannot be excluded or limited by law.
13. Your Responsibilities
You are responsible for your use of our Services and any consequences arising from:
- Your breach of these Terms
- Your User Content posted on our platform
- Your infringement of any third-party rights
- Your violation of applicable laws while using our Services
If your actions cause Prentora to face legal claims or incur costs, you may be liable for those claims or costs to the extent caused by your breach of these Terms or applicable law. This does not require you to pay our legal costs for defending claims unless you have acted unlawfully or in breach of these Terms.
This section does not apply where your actions are covered by consumer protection legislation or where liability cannot be imposed under applicable law.
14. Modifications to Terms and Services
14.1 Changes to Terms
We may change these Terms for a valid reason, such as a change in the law or in our Services. We will publish each new version with the date it takes effect. If a change reduces your rights or adds to your obligations, we will email you at least 30 days before it takes effect, unless the law requires it sooner. It is your responsibility to maintain a current email address. A change never takes away a video course you have bought.
A new version applies to everyone from the date it takes effect, and using the Services after that date means you accept it. If you don't accept it, you can stop using the Services and close your account (Section 2.4).
14.2 Changes to Services
We may change or stop parts of the Services, for example to improve them or for legal or security reasons. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services, except as required by applicable law.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. If you are a consumer, you can bring proceedings in the courts of England and Wales, or in the courts of Scotland or Northern Ireland if you live there, and the law there also applies. If you live in another country, you keep the protection of the mandatory consumer laws of that country, and may also be able to bring proceedings in its courts.
16. Dispute Resolution
16.1 Informal Resolution
Before initiating any formal legal proceedings, you agree to try to resolve any dispute informally by contacting us at [email protected]. We will make reasonable efforts to resolve the dispute within 60 days.
16.2 Legal Proceedings
If we cannot resolve a dispute informally, either party may commence formal legal proceedings in accordance with Section 15 (Governing Law and Jurisdiction).
17. General Provisions
17.1 Entire Agreement
These Terms constitute the entire agreement between you and Prentora regarding your use of the Services. The Live Class Booking Terms, the Video Course Agreement, the Live Class Agreement and the Affiliate Agreement are separate agreements. Where one of them applies to you and conflicts with these Terms, that agreement prevails for what it covers.
17.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
17.4 Assignment
You may not transfer your account, or your rights under these Terms, to anyone else without our written consent.
We may transfer our rights and obligations under these Terms to another business that acquires the Services from us, or the part of them you use. We will tell you if we do. The transfer will not reduce your rights under these Terms, including your access to courses you have bought.
17.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
17.6 After your account is closed
Sections 3.3, 3.4, 9, 11, 12, 13, 15 and 16 continue to apply after your account is closed.
17.7 Translations
If a translation of these Terms differs from the English version, you can rely on whichever is more favorable to you.
